Job Description

Round Hill Search has been exclusively engaged by a leading, publicly traded real estate investment organization in San Diego seeking a highly skilled Corporate Paralegal to join its fast-paced legal department. This is a dynamic, high-volume environment that requires a strong transactional background and exceptional attention to detail. The successful candidate will work closely with a small, collaborative legal team and report directly to the General Counsel.

Key Responsibilities:

  • Support the General Counsel and legal team on a broad range of corporate and transactional matters, including M&A, joint ventures, and capital raise transactions.

  • Draft, review, and manage corporate documentation such as board consents, resolutions, and closing binders.

  • Assist with due diligence, closing coordination, and document organization for complex corporate transactions.

  • Manage entity formation, governance, and maintenance across multiple jurisdictions.

  • Coordinate with outside counsel, internal business teams, and finance/accounting departments to support ongoing legal and compliance initiatives.

  • Support private capital and financing matters, including assisting with regulatory and investor documentation.

  • Maintain and oversee corporate record-keeping systems, templates, and databases.

  • Provide operational and administrative support for legal department projects and systems.

Qualifications:

  • Bachelor’s degree and ABA-approved paralegal certificate required (or equivalent qualification).

  • Minimum 5 years of corporate transactional experience in a law firm or in-house legal department setting.

  • Strong working knowledge of M&A, JV, entity management, and securities/capital markets transactions.

  • Experience in a public company environment preferred.

  • Highly organized with strong analytical, drafting, and project-management skills.

  • Ability to thrive in a busy, team-oriented legal department and handle multiple priorities with accuracy and composure.

  • Excellent written and verbal communication skills.

  • Must be a team player with a proactive, collaborative mindset.

  • Notary Public (or willingness to obtain upon hire).

Compensation & Work Environment:

  • Competitive hourly rate ($40 - $45) commensurate with experience

  • Hybrid schedule
